Beta Testing Agreement

This Beta Testing Agreement (“Agreement”) governs your participation as a beta tester (“Beta Tester,” “you”) in the pre-release testing program for UrbanSync Innovations LLC (“UrbanSync”) products, including FlyConnect, CCTV, and related platforms (each, a “Beta Product”). By enrolling in or using a Beta Product, you agree to the following terms.

1. Nature of the Beta Program

Beta Products are pre-release, may contain bugs, errors, and incomplete features, and may be changed, suspended, or discontinued at any time without notice. Your participation is voluntary and may be revoked by UrbanSync at any time, for any reason.

2. No Warranty

BETA PRODUCTS ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, WHETHER
EXPRESS, IMPLIED, OR STATUTORY. URBANSYNC DOES NOT WARRANT THAT BETA PRODUCTS WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME.

3. Confidentiality

Beta Products, and any non-public information you receive about them (features, roadmaps, performance, bugs), are UrbanSync’s confidential information (“Confidential Information”). You agree
to: – Keep Confidential Information confidential and not disclose it to any third party without UrbanSync’s prior written consent; – Use Confidential Information solely to test and provide feedback
on the Beta Product; – Not publicly post screenshots, videos, or descriptions of unreleased features
without UrbanSync’s written permission.
This confidentiality obligation survives termination of your participation and continues until the
relevant feature is publicly released or UrbanSync releases you from this obligation in writing.

4. Feedback License

If you provide suggestions, bug reports, or other feedback (“Feedback”) about a Beta Product, you grant UrbanSync a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, modify, and incorporate that Feedback into UrbanSync’s products and services without any obligation or compensation to you.

5. Data and Privacy

Your use of Beta Products is also governed by UrbanSync’s Privacy Policy. Beta Products may collect additional diagnostic or usage data to help identify bugs and improve performance.

6. No Compensation; No Guarantee of Release

Participation in the Beta Program does not entitle you to compensation, equity, early access to future features, or any guarantee that the Beta Product will be publicly released.

7. Termination

UrbanSync may terminate your participation, or the Beta Program itself, at any time. Sections 2,
3, 4, and 8 survive termination.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBANSYNC SHALL NOT BE LIABLE FOR ANY
DAMAGES ARISING FROM YOUR USE OF A BETA PRODUCT, INCLUDING DATA LOSS, SERVICE
INTERRUPTION, OR DEVICE DAMAGE.

9. Governing Law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania.

10. Acknowledgment

By joining a Beta Product, you acknowledge that you have read, understood, and agree to be bound
by this Agreement, in addition to UrbanSync’s Terms of Service and Privacy Policy.

This document is a template intended for internal/external beta testers (e.g., the FLYCONNECT
developer build). Have counsel confirm confidentiality and feedback-license language, particularly
if outside developers or contractors are being granted App Store Connect / Apple Developer account
access, as that relationship may warrant a separate NDA or contractor agreement.
