These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, and platforms operated by UrbanSync Innovations LLC (“UrbanSync,” “we,” “us,” or “our”), including FlyConnect, CCTV, and the UrbanSync Magazine (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to create an account or use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. FlyConnect is intended for individuals working in or affiliated with the aviation industry; we may require verification of employment or industry affiliation and may suspend accounts that misrepresent eligibility.

2. Account Registration

You agree to provide accurate, current, and complete information when creating an ac- count and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at gdpeterson@urbansyncinn.com of any unauthorized use.

3. Platform-Specific Terms

3.1 FlyConnect

FlyConnect is a social network for aviation-industry employees featuring time-based feeds, a “Passport” feature, a “Match” feature, geolocation-based search, profile calendars, and invite-only group messaging. You agree to use FlyConnect only for lawful networking, community-building, and professional/social connection purposes consistent with these Terms and our Community Guidelines.

3.2 CCTV

CCTV is a community-driven platform structured around plaintiff, defendant, and juror roles, with tiered jury pools and community moderation, designed to facilitate peer discussion and community perspective on disputes submitted by users.

CCTV is entertainment and community discussion — it is not a court of law, arbitration proceeding, or legal adjudication. Outcomes, votes, or “verdicts” generated on CCTV have no legal force or effect and do not determine legal liability, guilt, or fault. You may not use CCTV to circumvent, threaten, harass, or defame any person, and all content is subject to our Community Guidelines. UrbanSync reserves the right to remove any submission at its sole discretion, including for defamation risk, harassment, doxxing, or legal exposure, and to cooperate with valid legal process regarding submitted content.

3.3 UrbanSync Magazine / Blog

Content published under “Innovation Uncensored” and other blog categories reflects the views of individual contributors and does not necessarily reflect the views of UrbanSync Innovations LLC.

4. User Content and License

“User Content” means any content you submit, post, or transmit through the Services, including profiles, case narratives, comments, votes, photos, and messages.
• You retain ownership of your User Content.
• By submitting User Content, you grant UrbanSync a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content solely to operate, promote, and improve the Services.
• You represent that you own or have the necessary rights to your User Content and that it does not infringe or violate any third party’s rights, including intellectual property, privacy, or publicity rights.
• We may remove User Content that violates these Terms, our Community Guidelines,
or applicable law.

5. Prohibited Conduct

You agree not to: – Violate any applicable law or regulation; – Harass, threaten, defame, impersonate, or invade the privacy of any person; – Post false, misleading, or malicious statements about real individuals, particularly on CCTV; – Upload content that infringes intellectual property or other rights; – Use automated means (bots, scrapers) to access the Services without our written permission; – Attempt to gain unauthorized access to any account, system, or network; – Use the Services to send spam or unsolicited commercial messages; – Reverse-engineer, decompile, or attempt to extract source code from the Services except as permitted by law; – Use FlyConnect’s geolocation, match, or messaging features to stalk, surveil, or harm another user.

6. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms, our Community Guidelines, or applicable law, or for any other reason at our discretion. You may delete your account at any time through account settings or by contacting us.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT ON CCTV IS ACCURATE, RELIABLE, OR TRUTHFUL.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBANSYNC INNOVATIONS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless UrbanSync Innovations LLC and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, or your violation of these Terms, including any defamation, harassment, or privacy claims arising from your CCTV submissions.

10. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in Philadelphia, Pennsylvania, except that either party may bring an individual claim in small claims court. You and UrbanSync each waive the right to a jury trial and to participate in a class action. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.). Class action waivers of this kind are generally enforceable under the FAA per AT&T Mobility LLC v. Concepcion (2011) and American Express Co. v. Italian Colors Restaurant (2013), which hold that the FAA preempts state rules invalidating such waivers and that they remain enforceable even where individual arbitration is costly relative to potential recovery. Two things still need counsel’s confirmation before publishing: (1) many states require this clause to be presented with specific notice/formatting (e.g., a clear opt-out window, capitalized or bolded text, and a conspicuous acceptance mechanism) to be enforceable against consumers, and (2) the FAA excludes certain “transportation worker” contracts from mandatory arbitration — worth checking given FlyConnect’s aviation-industry user base, even though that exclusion applies to employment contracts rather than consumer platform use.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

12. Changes to the Services and Terms

We may modify or discontinue the Services, or update these Terms, at any time. Material changes will be posted with an updated “Last Updated” date. Continued use after changes take effect constitutes acceptance.

13. General

These Terms, together with our Privacy Policy, Cookie Policy, and Community Guidelines, constitute the entire agreement between you and UrbanSync regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver of that right.
